I agree with your reasoning.  For the sake of completeness of discussion,
however, let me point out an attribute-favoring argument I haven't noticed on
this list.  It is that well-formedness and validation can put more constraints
on attributes (if you design your DTD to take advantage of this) than on
element content.  So you can express more of the semantics of your application
via generic mechanisms this way.
