Hello,

The note is nice and friendly - deserving an equally toned reply.  In
terms of the formal situation, I do not believe OASIS is responsible
for any debt, liability or duty that LegalXML, Inc. incurred.  There
was no "merger", per se, from a legal stand point.  Just as a vendor
to LegalXML, Inc. would have had no standing to get money owed from
OASIS, similarly I don't see that this web linking agreement has any
formal hold.  There was a clean creation of a new entity under OASIS -
with the consent of the Board of LegalXML, Inc.  In addition, I'd need
to take another look at the wording, but my recollection of the
document was that there was more than one interpretation about the
scope and application.  However, the flavor and nature of the
interaction between LegalXML, Inc. and OASIS is such that I believe we
should seek to accede to Todd's request, without in anyway conceding
on behalf of OASIS a formal requirement to do so now or in the future.
I also think this is an opportunity to perform a small "confidence
building measure" between Todd and our new organization and I hope it
might lead toward finding ways to collaborate more fully in the
future.

In terms of responding to this request - Don and I now have rights to
send updates to the web site, so I propose that one of us simply send
an update asap.  Branding on the OASIS page should continue to follow
OASIS rules and best business practices from an OASIS corporate
vantage - so, perhaps the wording should be clarify that GSU founded
the "predecesor" or "original" or "pre-OASIS" or whatever LegalXML,
before joining OASIS.  This is to assure we do not wrongfully imply
that GSU is a founder of an OASIS Member Section or a member of OASIS.

Any objection?
