According to the OASIS TC Process, membership and voting in the TC is by the individual. Company affiliation doesn't matter; if one company has five employees who are members of the TC then they have five votes. They can vote as a bloc if they would like, but the votes are individual.  In OASIS-wide voting (e.g. for Board of Directors or to approve a spec as an OASIS Standard) each OASIS member organization (company) gets one vote. Individuals do not vote at this level.  The problem is that the member section lies somewhere in between; it's bigger than a TC but smaller than OASIS as a whole, and it's also not accounted for in the TC Process. So this has to be covered in the MS RoP.  And because we don't want to mix the votes (i.e. give the same value to an Individual as to a comapny) then we either have them vote separately or we say that only the individuals (in this case, the TC members) matter.  I think Don's wording is a good way to do it.  </karl>
