IE5.0 shipped before XSLT was finalized, and thus was based on an earlier
version of the spec. (Such is what happens when standards completion dates
slip faster than product release dates. No need to argue the politics of
this here, as this is a _well_ beaten horse.) I don't remember the exact
logic behind the decision for that ("http://www.w3.org/TR/WD-xsl") specific
URI as our namespace identifier. "http://www.w3.org/XSL/Transform/1.0" is
not the proper XSLT URI, anyway. It should read
"http://www.w3.org/1999/XSL/Transform/1.0". This will specify the official
XSLT. (I could be wrong, XSLT is not my strong point.)
MSXML 2.6 (which will ship with SQL Server 2000) and MSXML 3.0 (which will
ship on the web in October), both implement the official XSLT spec (as well
as continuing to support the older, MS-specific XSL supported in IE5.0).

I am using IE 5.0 without updating any components - tried your line, it does
not work - using the line from rajib, it works fine ... can u help me figure
out why ? Actually, what's the exact diference between :
<xsl:stylesheet version="1.0" xmlns:xsl="http://www.w3.org/TR/WD-xsl">
and
<xsl:stylesheet xmlns:xsl='http://www.w3.org/XSL/Transform/1.0'>
FYI: tried on win2000 pro with IE 5.5 - does not work either , cheers
